Terms of Service.
The agreement between you and Truvad for using GRIP, SENTINEL, and our websites.
1. Agreement to terms
These Terms of Service ("Terms") govern your access to and use of Truvad's websites, GRIP, SENTINEL, and related services (the "Services"), provided by [Legal Entity Name] ("Truvad"). If you use the Services on behalf of an organization, you represent that you are authorized to bind that organization.
2. Definitions
- GRIP — Truvad's hosted regulatory-intelligence service.
- SENTINEL — Truvad's on-premise engine, licensed to run inside your environment.
- Customer Data — data you submit to, or process with, the Services.
3. Accounts and eligibility
You must provide accurate information, keep your credentials secure, and are responsible for activity under your account. The Services are intended for business use by U.S. financial-services organizations and their teams.
4. Subscriptions, billing, and renewal
Paid plans are billed in advance on a recurring basis through our payment processor. Unless cancelled before renewal, subscriptions renew automatically for the same term. Fees are non-refundable except where required by law or expressly stated.
5. Acceptable use
You agree not to misuse the Services, including by reverse-engineering, reselling without authorization, circumventing security, or using the Services to violate law or third-party rights.
6. Customer Data and the on-premise model
You retain all rights to your Customer Data. For GRIP, you grant Truvad a limited license to process Customer Data solely to provide the Services. For SENTINEL, processing occurs within your own environment; Truvad does not access the documents or analysis processed on your infrastructure.
7. Intellectual property
Truvad and its licensors own all rights in the Services, software, and content we provide, excluding your Customer Data. SENTINEL is licensed, not sold, and subject to the license terms in your order.
8. Regulatory content — not legal advice
9. Warranties and disclaimers
The Services are provided "as is" and "as available". To the maximum extent permitted by law, Truvad disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
10. Limitation of liability
To the maximum extent permitted by law, Truvad will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Truvad's total liability for any claim will not exceed the amounts you paid for the Services in the 12 months before the event giving rise to the claim.
11. Indemnification
You agree to indemnify Truvad against claims arising from your misuse of the Services or violation of these Terms or applicable law.
12. Term and termination
These Terms apply while you use the Services. We may suspend or terminate access for breach. On termination, your right to use the Services ends; sections that by their nature should survive will survive.
13. Governing law
These Terms are governed by the laws of [State/Jurisdiction], without regard to conflict-of-laws rules. The courts located there will have exclusive jurisdiction, subject to any mandatory consumer protections.
14. Changes to these Terms
We may update these Terms from time to time. Material changes will be posted here with a new effective date; continued use means you accept the updated Terms.
